Details of Company's Business

NDL Ventures Limited (formerly known as NXTDIGITAL Limited), a Hinduja Group Company, used to have two business segments i.e. Media & Communications and Real Estate.

Under the Scheme of Arrangement between NDL Ventures Limited (formerly known as NXTDIGITAL Limited) and Hinduja Global Solutions Limited and their respective shareholders, the Digital. Media and Communications business undertaking of NDL Ventures Limited (formerly known as NXTDIGITAL Limited) has been transferred/demerged into Hinduja Global Solutions Limited with effect from 12th November 2022 vide Order dated 11th November 2022 issued by Hon’ble National Company Law Tribunal, Mumbai. The residual and existing business of the Company is real estate.

Criteria of making payments to Non-Executive Directors

Non-Executive Directors are paid sitting fees for attending each meeting of the Board of Directors and Committee thereof. Non-Executive Directors are also reimbursed travelling and out of pocket expenses incurred in attending the meetings. There were no material pecuniary relationships or transactions with Non-Executive Directors.
